1. Acceptance of Terms

By accessing or using the EcoStadt Production Portal (the "Portal") and any associated services, including SMS/text messaging services, provided by EcoStadt Technologies ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Portal or our services.

2. Description of Services

The EcoStadt Production Portal is an internal production tracking and management platform used by EcoStadt Technologies and its authorized personnel for:

• Production batch management and tracking for organic fertilizer and pesticide products.
• Raw material inventory management with FIFO lot tracking.
• Finished goods inventory management across multiple product SKUs.
• Bill of Lading (BOL) generation and shipping documentation.
• Certificate of Analysis (COA) and compliance document management.
• Purchase order management and fulfillment tracking.
• Incoming container and warehouse stock management.
• Equipment cleaning log maintenance for regulatory compliance.

3. SMS/Text Messaging Terms

3.1 Consent

By providing your mobile phone number and enabling two-factor authentication on the Portal, you expressly consent to receive SMS/text messages from EcoStadt Technologies at the mobile number you provided. You confirm that you are the account holder or authorized user of the mobile phone number provided. Consent is not a condition of purchasing any goods or services.

3.2 Opt-Out

You may opt out of receiving SMS messages at any time using either of the following methods:

• Reply STOP: Text STOP to any message received from EcoStadt Technologies. You will receive a one-time confirmation message and will no longer receive SMS messages from us.
• Portal Settings: Log in to the Portal, navigate to Settings > Security, and disable the SMS Verification toggle.

Please note that opting out of SMS messages will disable two-factor authentication on your account, which may reduce your account security.

3.3 Help

3.4 Carrier Liability

Carriers are not liable for any delayed or undelivered messages. Message delivery is subject to effective transmission from your mobile carrier. EcoStadt Technologies is not responsible for messages that are not delivered due to carrier issues, network problems, or device incompatibility.

3.5 Supported Carriers

Our SMS program is supported on all major US mobile carriers, including but not limited to AT&T, Verizon, T-Mobile, Sprint, and their MVNOs. Carriers are not responsible for the content of messages sent through our program.

4. Account Registration and Security

Access to the Portal is by invitation only. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete information during registration.
• Keep your password and authentication credentials secure.
• Notify us immediately of any unauthorized access to or use of your account.
• Enable two-factor authentication when required by your organization's administrator.

5. Acceptable Use

You agree to use the Portal only for its intended purpose and in compliance with all applicable laws and regulations. You shall not:

• Use the Portal for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorized access to any part of the Portal or its underlying systems.
• Share your account credentials with unauthorized individuals.
• Upload malicious code, viruses, or any harmful content.
• Interfere with or disrupt the Portal's operation or security features.
• Use the Portal to transmit any content that is defamatory, obscene, or otherwise objectionable.

6. Intellectual Property

The Portal, including its design, features, functionality, and content, is the property of EcoStadt Technologies and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Portal for its intended business purpose. You may not copy, modify, distribute, or create derivative works based on the Portal without our prior written consent.

7. Confidentiality

You acknowledge that the Portal contains confidential and proprietary business information of EcoStadt Technologies, including but not limited to production formulas, batch records, supplier information, pricing data, and customer details. You agree to maintain the confidentiality of all such information and not disclose it to any third party without our prior written consent.

8. Data Accuracy

You are responsible for the accuracy and completeness of all data you enter into the Portal, including production records, inventory counts, and shipping information. EcoStadt Technologies is not liable for any consequences arising from inaccurate data entry.

9. Limitation of Liability

To the maximum extent permitted by law, EcoStadt Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Portal. Our total liability for any claim arising from or related to these Terms shall not exceed the amount paid by you, if any, for access to the Portal during the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Portal is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will be uninterrupted, error-free, or free of harmful components.

11. Termination

We reserve the right to suspend or terminate your access to the Portal at any time, with or without cause, and with or without notice. Upon termination, your right to use the Portal will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to confidentiality obligations, limitations of liability, and dispute resolution.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Santa Barbara County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Portal after any changes constitutes your acceptance of the updated Terms.

14. Privacy Policy

Your use of the Portal is also governed by our Privacy Policy, which is available at Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
